PathwaysPlay Organizer Agreement
Version 2026-09-23. Between Give it a Try, LLC ("GIAT"), operator of PathwaysPlay and the Pathways and Rising Tide services, and the organizer who accepts it at payout setup.
This agreement is between Give it a Try, LLC ("GIAT", "we", "us"), which operates PathwaysPlay and the Pathways and Rising Tide services, and you, the organizer who accepts it ("you", "the Organizer"). If you accept on behalf of a club, school, union or other organization, you confirm that you are authorized to bind it, and "you" means that organization as well.
You accept this agreement when you set up payouts on PathwaysPlay. It governs every registration door you run on PathwaysPlay that collects money, whether the payout account belongs to you personally or to your organization.
1. What PathwaysPlay does, and what it does not do
PathwaysPlay gives you a registration door: a public page for your camp, combine, tournament or event, a form where athletes and families register, and payment collection through Stripe. We run the platform. You run the event.
We are not the organizer, promoter, operator or host of your event. We do not select participants, set eligibility, supervise activity, hire staff or officials, provide insurance, or take custody of your event. Families register with you; we are the tooling you use to take that registration and the payment that goes with it.
For payments, we are the merchant of record with the card networks and the platform on Stripe's systems. Your payout account is a Stripe connected account that you control.
2. Definitions
- Door: a registration page you publish on PathwaysPlay for an event.
- Registrant: the athlete registered through a door, and the parent or guardian who registers a minor.
- Face Price: the price per registrant you set on a door.
- Service Fee: the fee PathwaysPlay adds on top of the Face Price at checkout, paid by the registrant. At this version it is 6% of the Face Price plus $1.50 per paid registration.
- Payout Account: the Stripe connected account that receives your Face Price, either your personal account or your organization's account.
3. Fees and what registrants pay
3.1 You receive your full Face Price. For every paid registration, the registrant is charged the Face Price plus the Service Fee, shown as two lines and an all-in total before they pay. The Face Price goes to your Payout Account. The Service Fee is ours, and we pay card processing out of it. You pay us nothing to run a door, and a free door (no Face Price) never touches Stripe.
3.2 The Service Fee is the registrant's. At this version it is always added on top and paid by the registrant. It is not deducted from your Face Price.
3.3 Changes to the Service Fee. We may change the Service Fee for future registrations by updating this agreement (section 14). A change never applies to a registration that has already been paid.
3.4 Taxes. You are responsible for any sales, use, amusement or other tax that applies to your event and your Face Price, and for any registration, permitting or sanctioning fees your sport requires. We do not calculate or collect tax on your behalf.
4. Payouts
4.1 When you are paid. We send your Face Price to your Payout Account after your event ends, normally within five business days of the end date on the door. Doors for ongoing programs with no end date are paid weekly. Stripe then pays the balance of your Payout Account to your bank on the schedule set for the account.
4.2 Why after the event. Until your event has happened, a registrant can still be owed a refund, and a payment can still be disputed. Holding the funds until the event ends is what lets refunds and disputes be settled from the money the registration produced, rather than from you afterwards.
4.3 Reserves. Where risk warrants it (for example a first paid event, an unusually high refund or dispute rate, or a door we have questions about) we may hold part of your funds in reserve for a stated period and tell you when we do. We release a reserve as soon as the reason for it has passed.
4.4 Negative balance. If your Payout Account goes negative because of a refund, a dispute or a reversal under this agreement, Stripe may debit the bank account attached to it to bring it back to zero, and no payout is sent while the balance is negative. You authorize that debit by accepting this agreement and Stripe's terms.
5. Refunds
5.1 Your refund policy. You decide the refund policy for each door, and PathwaysPlay shows it to registrants on the door's public page and again at checkout. At minimum your policy must:
- refund the Face Price in full to every registrant if you cancel the event, do not hold it, or postpone it and do not reschedule within 90 days;
- say how a registrant asks for a refund;
- be answered: you respond to a refund request within five business days of receiving it.
If a door has no policy of its own, the minimum above is the policy.
5.2 Where refunds come from. A refund of the Face Price is paid from your funds: the transfer to your Payout Account is reversed for the refunded amount. If your Payout Account cannot cover it, we may refund the registrant ourselves and recover the amount from you under section 7.
5.3 The Service Fee on a refund. The Service Fee is non-refundable, with one exception: if you cancel the event, do not hold it, or postpone it without rescheduling within 90 days, the Service Fee is refunded to the registrant along with the Face Price. On a partial refund, or a refund you choose to give for any other reason, the Service Fee stays with us. Card processing costs are not returned to us by the card networks on any refund, which is why the fee works this way.
5.4 Refunds we issue. If your policy or section 5.1 requires a refund and you have not issued it within five business days of a request, or if we determine that a registration was a duplicate, was taken in error, or was charged to a card without the cardholder's authority, we may refund the registrant on your behalf and recover the amount from you under section 7.
5.5 How to refund. Issue refunds through the PathwaysPlay organizer view once that control is available, or ask us to issue one. Refunds issued any other way (for example directly in a Stripe dashboard) may not reverse the transfer correctly and may leave you owing the difference.
6. Chargebacks and disputes
6.1 Who bears a dispute. If a registrant's bank reverses a payment (a chargeback or dispute), you bear the disputed amount and a dispute fee of $15 per dispute, which is what the card networks and Stripe charge us to receive it. We may recover both from you under section 7 as soon as the dispute is opened.
6.2 Responding. We manage the response to the card networks because we are the merchant of record. You give us the evidence we ask for (the registration record, your refund policy as shown, correspondence with the family, proof the event took place) within five business days of our request. Without it we may not be able to contest the dispute.
6.3 If the dispute is won. We return the recovered amount to your Payout Account. The $15 dispute fee is returned only if the card network returns it to us.
6.4 If you refund first. A registration that has been refunded cannot also be disputed successfully in most cases, so answering a refund request promptly under section 5 is usually cheaper than a dispute.
7. How we recover what you owe
Where this agreement says we may recover an amount from you, we may do so by any of the following, and you authorize each of them:
- reversing the transfer for the affected registration from your Payout Account;
- offsetting the amount against your next payout or against any reserve we hold;
- debiting your Payout Account, which Stripe may then recover from the bank account attached to it;
- invoicing you, with payment due within 14 days.
We will tell you what was recovered and why.
8. Your event and your registrants
8.1 Delivering the event. You are responsible for holding the event as described on the door, for its safety, staffing, venue, officials, medical cover and insurance, and for complying with the rules of your sport's governing bodies and the law where the event is held.
8.2 Waivers and consents. You are responsible for obtaining every waiver, medical form, consent and, for participants under 18, every parent or guardian consent your event and your sport require. PathwaysPlay records that a registrant accepted the waiver text you supply on your door; it does not review that text or replace any form your governing body requires.
8.3 Registrant data. The registration data collected through your door (names, dates of birth, contact details, guardian details, and any headshot a family uploads) is collected for you, to run your event. You may use it only for that event and for communicating with those families about it. You must not sell it or share it with anyone outside your organization except as needed to run the event. Where PathwaysPlay is linked to a Pathways organization, the movement of registrants onto that organization's roster is an action you take, subject to the Pathways terms and privacy policy.
8.4 Truthful doors. What you publish on a door (dates, venue, price, eligibility, what is included, your refund policy) must be accurate and kept current. If any of it changes, you update the door and tell registrants.
8.5 Communications. You are the point of contact for your registrants. Questions about the event, eligibility and refunds go to you, and your door shows the contact email you give us for that purpose. We may forward registrant questions to you and, where section 5.4 applies, act on them.
8.6 Conduct. You will not use PathwaysPlay for an event that is unlawful, that misrepresents who is running it, or that is not a real event. We may close a door and hold its funds if we reasonably believe it breaches this section, and we will tell you if we do.
9. Stripe
Your Payout Account is provided by Stripe. To receive payouts you must complete Stripe's onboarding and accept the Stripe agreement presented during payout setup, which governs the Payout Account alongside this agreement. Stripe may ask you for identity, business and bank details and may hold, delay or refuse a payout under its own rules. We do not control Stripe's decisions about your account. If Stripe closes or restricts your Payout Account, we may pause your doors until it is restored.
10. Our platform
10.1 Availability. We work to keep PathwaysPlay available and accurate but do not promise uninterrupted service. If the platform is unavailable during your registration window we will work with you in good faith to extend the window or accept registrations another way.
10.2 No escrow, no banking. We hold your funds only as described in section 4 and only through Stripe. We are not a bank, an escrow agent or a money transmitter, and no interest is paid on funds held.
10.3 Records. You can export your registrants from the organizer view at any time. We keep registration and payment records for as long as the PathwaysPlay Privacy Notice (section 7) says, and for as long as the law and our obligations to the card networks require.
11. Indemnity
You will defend, indemnify and hold harmless GIAT, its members, staff and contractors from claims, losses, fines and reasonable attorneys' fees arising from: your event and its conduct; any injury to a participant; your breach of this agreement; false or misleading content on a door; your failure to obtain a required waiver or consent; your use of registrant data outside section 8.3; and any tax or governing-body fee you were responsible for. This indemnity does not cover losses caused by our own gross negligence or wilful misconduct.
12. Limitation of liability
To the fullest extent permitted by law, we are not liable to you for lost profits, lost registrations, or indirect or consequential loss, and our total liability to you under this agreement in any twelve-month period is limited to the Service Fees we received on your doors in that period. Nothing in this agreement limits liability that cannot be limited by law.
13. Term and ending the agreement
This agreement starts when you accept it and continues while you have a Payout Account or an open door on PathwaysPlay. You may end it by closing your doors and asking us to close your Payout Account; we may end it on notice if you breach it. Sections 5, 6, 7, 8.3, 11, 12 and 15 survive for any registration taken before it ended, and we may keep recovering amounts you owe after it ends.
14. Changes to this agreement
We may update this agreement. When we do, the new version is shown on PathwaysPlay with its date, and you are asked to accept it the next time you set up or change payouts. A change never applies to a registration paid before it took effect. If you do not accept a new version, you may keep running doors under the version you accepted until you next change payouts.
15. General
- Governing law and venue. This agreement is governed by the laws of the State of Maryland. Any dispute between you and us shall be brought exclusively in the state or federal courts located in Frederick County, Maryland.
- Electronic acceptance. Accepting this agreement on PathwaysPlay is a signature with the same force as an original under the federal E-SIGN Act and the Maryland Uniform Electronic Transactions Act. We record the date and time, the version, and the account that accepted.
- Whole agreement. This agreement, the Stripe agreement for your Payout Account, and the Pathways terms and privacy policy where they apply are the whole agreement between us about your doors. If a term here conflicts with the Pathways terms about a door, this agreement controls.
- Assignment. You may not assign this agreement without our written consent. We may assign it to a successor that takes over PathwaysPlay.
- Severability and waiver. If a term is unenforceable, the rest stands. Not enforcing a term is not a waiver of it.
- Notices. We send notices to the email on your organizer account. You send notices to the contact address shown on pathwaysplay.com.
Version 2026-09-23. Accepted electronically at payout setup; PathwaysPlay records the accepting account, the version, and the time.
